Introduction

These Terms of Sale & License Agreement (“Terms”) govern all digital products, programs, downloads, assessments, simulations, and advisory services offered by Mind The Gap Advisory (“Company,” “we,” “our,” or “us”).

By purchasing, downloading, accessing, or using any product or service, you acknowledge that you have read, understood, and agree to these Terms in full.

1. Scope of Offerings

Mind The Gap Advisory provides executive crisis readiness resources focused on early-phase decision clarity, escalation discipline, verification order, and leadership alignment during cyber, AI-driven, and high-visibility incidents.

Offerings may include, but are not limited to:

• Digital decision-support toolkits, templates, and playbooks

• Executive briefings and readiness memoranda

• Prompt libraries and AI-assisted readiness tools

• Free and paid digital downloads

• Readiness audits and diagnostics

• Facilitated tabletop simulations and scenario-based exercises

• Advisory sessions and enterprise engagements

Each product or service is described on its applicable sales page or governed by a separate written engagement agreement.

1.1 Defined Digital Offering Categories

The Company’s digital products are designed as decision-support and readiness resources. They are not operational, technical, or professional services.

Early-phase decision readiness tools

Resources designed to support executive clarity, authority, and coordination during the first moments of disruption, when facts are incomplete and pressure is public.

Synthetic media and misinformation response resources

Materials focused on verification discipline, internal alignment, and controlled acknowledgment during suspected or confirmed AI-generated or manipulated content incidents.

Simulations and stress-testing resources (digital)

Self-directed scenario materials intended to surface decision friction, escalation ambiguity, and cross-functional misalignment. These are governance stress tests, not training or performance evaluations.

Readiness audits and diagnostics

Tools intended to identify gaps in decision authority, escalation clarity, and leadership preparedness.

Unless explicitly stated otherwise, all digital offerings are informational and strategic in nature and do not constitute legal advice, cybersecurity services, regulatory guidance, incident response, or consulting.

1.2 Facilitated Services

Certain offerings are delivered as facilitated services, not digital products.

These include, but are not limited to:

• CrisisOS5™ Tabletop Simulations

• Advisory sessions

• Enterprise engagements

Facilitated services involve live human facilitation and are governed by:

• These Terms, and

• Any applicable written engagement agreement, proposal, or statement of work

Facilitated services are not self-directed products and do not grant reuse, licensing, or derivative rights beyond what is explicitly stated in writing.

2. Delivery

Digital products are delivered electronically via download link, email, or hosted platform.

Facilitated services, including tabletop simulations and advisory sessions, are delivered virtually unless otherwise agreed in writing.

No physical products are shipped.

Purchasers receive the current version of a digital product at the time of purchase. Updates, enhancements, or future versions are not guaranteed unless explicitly stated.

3. Fees & Payment

Prices are listed on the applicable sales page or engagement agreement.

Payment is required in full unless otherwise specified.

Payments are processed through approved third-party payment providers.

All digital product sales are final and non-refundable due to the digital and intellectual nature of the materials.

Fees for facilitated services are governed by the applicable engagement agreement.

4. License & Intellectual Property

All materials, frameworks, content, and intellectual property remain the exclusive property of Mind The Gap Advisory, including all decision frameworks, toolkits, templates, simulations, prompts, and supporting materials.

Purchase grants a limited right of internal use only and does not confer authority to advise, represent, train, or act on behalf of third parties.

4.1 License Types

Unless otherwise stated in writing, purchasers are granted a limited, non-exclusive, non-transferable license under one of the following categories:

Individual License

Use by a single individual only.

Single-Organization License

Internal use by employees or designated agents of the purchasing organization only.

Enterprise License

Custom licensing governed by a separate written enterprise agreement.

4.2 Default License Scope

Unless explicitly authorized in writing:

• Digital products are licensed for internal organizational use only

• Materials may not be used to provide services, training, simulations, or advisory support to third parties

• No resale, sublicensing, redistribution, or “train-the-trainer” rights are granted

• Use is limited strictly to the licensed entity

4.3 Restrictions

You may not, without prior written authorization:

• Resell, share, or redistribute materials

• Publish materials on public websites, intranets, or shared repositories

• Incorporate materials into paid offerings, services, or products

• Claim authorship, derivative rights, or co-branding rights

• Use materials outside the licensed organization

• Train AI models on Company materials or frameworks

4.4 AI-Assisted Tools and Outputs

If you use any AI-assisted prompts, tools, or decision aids provided by the Company:

• Outputs are assistive only and must be validated through human judgment

• Outputs do not constitute legal, cybersecurity, regulatory, or professional advice

• Materials are not intended for automated external communications or disclosures without review

• No warranties are made regarding accuracy, completeness, or suitability

5. Confidentiality & Privacy

The Company does not collect, store, or process sensitive incident data within its digital products.

Any confidential information shared during facilitated services or enterprise engagements is governed by the applicable engagement agreement.

The Company is not a data processor, incident data custodian, or system of record for customer incidents.

6. Limitation of Liability

All products and services provide strategic decision-support resources only.

They do not replace legal counsel, cybersecurity forensics, regulatory advisors, or operational incident response providers.

No guarantees are made regarding outcomes, prevention, or resolution of incidents. Use of all materials and services is at your own discretion and risk.

6.1 Early-Phase Decision Scope

Certain offerings are designed exclusively for early-phase decision support.

These resources are intended to reduce decision friction and misalignment during periods of uncertainty. All decisions and actions remain the sole responsibility of the purchasing organization.

7. No Client Relationship

Purchase or use of a digital product does not create a client, advisory, or consulting relationship.

A formal relationship exists only upon execution of a written engagement agreement.

8. Acceptance of Terms

By purchasing, downloading, or using any product or service offered by Mind The Gap Advisory, you agree to these Terms in full.
